Oman Introduces Key Amendments to the Commercial Companies  Regulation under Ministerial Decision 245/2025

On 13 July 2025, the Ministry of Commerce, Industry, and Investment Promotion (MOCIIP) issued Ministerial Decision 245/2025, changing rules on authorised signatories in CR documents. Under the new regulation, only shareholders, owners, board members, or company employees may be listed, limiting the ability of international companies to outsource this role to corporate service providers like Bondoni. A six-month grace period, until January 2026, has been granted for compliance. While some uncertainties remain, Bondoni is actively engaging with authorities to seek clarification and ensure smooth continuity of client services.

Oman’s Ministry of Labour Introduces New Rules for Omani Employee Salary Increments

The Ministry of Labour has issued Ministerial Decision No. 317/2025, introducing mandatory performance-based annual salary increments for Omani employees in the private sector. Starting 1 January 2026, increments will range from 5% (Excellent) to 3% (Good), with lower ratings receiving smaller or no increases. Employers must conduct annual performance appraisals, update HR and payroll policies, and ensure compliance to avoid penalties. The regulation also outlines conditions for suspension, transfer responsibilities, and employees’ right to appeal appraisal results.

Increase in SPF Payment delayed for 12 months

The Social Protection Fund (SPF) employer contribution increase for Omani employees has been postponed. Originally scheduled for July 2025, the 1% rise (from 21.5% to 22.5%) will now take effect in July 2026 following Royal Decree No. 60/2025. Employers should continue applying the current SPF rate until June 2026. This amendment provides businesses with an additional year before the higher contribution comes into force.

 

Oman Introduces Personal Income Tax from 1 January 2028

On 22 June 2025, Oman issued its first Personal Income Tax (PIT) law under Royal Decree No. 56/2025, introducing a 5% tax effective 1 January 2028. The tax applies only to individuals earning above OMR 42,000 annually, meaning 99% of the population will not be affected. Taxable income includes salaries, freelance work, rent, dividends, pensions, and more, with exemptions for education, healthcare, housing, and certain investments. Employers must prepare payroll and contracts for compliance, while individuals should review income streams and plan for deductions. To know more, click here.

MOL Reminder: Advance Application Needed for Expat and Omani Work Certifications

The Ministry of Labour has instructed companies and workers to begin applications for the Professional Classification Certificate and Professional Practice License at least 1–2 months before contract or residency expiry. Effective 1 September, this rule applies to sectors including engineering, finance, logistics, and energy. The move is aimed at avoiding renewal delays, with penalties for forged documents and stricter oversight of approved training centres.

Oil Exports surpass 178 million barrels

Omani oil exports reached approximately 178.746 million barrels the end of July 2025, marking a slight decline of 0.2 per cent compared to the same period in 2024, when exports totalled to 179.0368 barrels.
